Mergers And Acquisitions: The Industrial Organization Perspective (International Competition Law Series Set)
Margarida Catalao-lopes Manufacturer: Aspen Publishers ProductGroup: Book Binding: Hardcover Similar Items: ASIN: 9041124519 |
Product Description
Drawing on twenty years of merger analysis literature, this single source offers practical solutions to a wide range of problems faced by specialists working in the field of mergers and acquisitions. The authors take an industrial organization approach in which effects on profits, on consumer surplus and on overall welfare are of greatest relevance. The focus is primarily on horizontal mergers, although vertical and conglomerate mergers are addressed when producers of complementary goods are involved. Among the issues and elements examined, the authors provide answers to the following: How does a merger affect the insider firm's profitabifity? Why may outsiders stock market value increase or decrease following a merger? What are the expected welfare effects of a merger? What sort of arguments can be used for merger defense? How do economists model the firm's merging decision? How can the authorities simulate the price effects of a horizontal merger? Is post-merger entry likely to compensate the effects of a merger? The discussion proceeds from an analysis of the simplest exercise of market power to evermore complex merger environments. In their detailed coverage of policy evaluation of proposed acquisitions, the authors provide a merger simulation toolkit which can be applied to important recent judicial decisions in the field. This book will be of great value not only to academics in microeconomics and industrial organization, but also to lawyers and officials seeking expert practical guidance in the business or administrative responsibilities surrounding mergers and acquisitions.

The Evolution of the US Airline Industry: Theory, Strategy and Policy (Studies in Industrial Organization)

ASIN: 0387242139 |
Book Description
The Evolution of the US Airline Industry discusses the evolution of the hub-and-spoke network system and the associated price discrimination strategy, as the post-deregulation dominant business model of the major incumbent airlines and its breakdown in the early 2000s. It highlights the role that aircraft – as a production input – and the aircraft manufacturers' strategy have played in shaping this dominant business model in the 1990s. Fierce competition between Airbus and Boeing and plummeting new aircraft prices in the early 2000s have fueled low-cost competition of unprecedented scope, that destroyed the old business model. The impact of the manufacturers' strategy on these trends has been overlooked by industry observers, who have traditionally focused on the demand for air travel and labor costs as the most critical elements in future trends and survivability of major network airlines. The book debates the impact and merit of government regulation of the industry. It examines uncertainty, information problems, and interest group structures that have shaped environmental and safety regulations. These regulations disregard market signals and deviate from standard economic principles of social efficiency and public interest. The Evolution of the US Airline Industry also debates the applicability of traditional antitrust analysis and policies, which conflict with the complex dynamics of real-life airline competition. It questions the regulator's ability to interpret industry conduct in real time, let alone predict or change its course towards a "desirable" direction. The competitive response of the low-cost startup airlines surprised many antitrust proponents, who believed the major incumbent airlines practically blocked significant new entry. This creative market response, in fact, destroyed the major incumbents' power to discriminate pricing – a task the antitrust efforts failed to accomplish.

Regulation Misled by Misread Theory: Perfect Competition and Competition-Imposed Price Discrimination
William J. Baumol Manufacturer: AEI Press ProductGroup: Book Binding: Paperback ASIN: 0844713902 |
Book Description
Regulation Misled by Misread Theory changes how we think about economics. Standard economics has long held that firms can price discriminate only when they have monopoly power. Antitrust authorities and other regulators are thus tempted to use the existence of price discrimination as one indicator that a firm should possibly be subject to government investigation. In this monograph Professor Baumol shows that price discrimination not only exists in competitive markets but sometimes is a crucial feature of them. Baumol concludes by urging regulators to tread carefully when applying theory to policy.

Regulating Big Business: Antitrust in Great Britain and America, 18801990
Tony Freyer Manufacturer: Cambridge University Press ProductGroup: Book Binding: Hardcover ASIN: 052135207X |
Book Description
Late in the nineteenth century a new form of capitalism emerged in Great Britain and the United States. In both nations this economic transformation spawned social and political tensions that compelled the public and policy makers to decide upon an appropriate response to big business. A primary focus of public discourse was antitrust. This book explores the development of big business from 1880 to 1990 in a comparative context. It shows that government policies influenced the point at which managerial capitalism prevailed first in America, then in Britain, and that the search for these policies reflected the adjustment of the business order to changing economic conditions.

Antitrust Goes Global: What Future for Transatlantic Cooperation?
Alexander Lehmann, Simon J. Evenett , and eds. Benn Steil Manufacturer: Royal Institute of International Affairs ProductGroup: Book Binding: Paperback ASIN: 0815725019 |
Book Description
How will the rapid growth of trade, cross-border mergers and acquisitions, and international joint ventures alter antitrust enforcement? Can national antitrust enforcement guard against restrictive corporate practices in a globalizing world? Or will international friction increase as nations disagree over antitrust cases, like the Boeing-McDonnell Douglas merger? Recognizing the sheer volume of transatlantic commerce, the EU and U.S. have long cooperated on antitrust matters, but what has that cooperation achieved? And how far should such cooperation go in the future? This volume addresses these questions in the context of antitrust policies towards cartels, mergers and acquisitions, and vertical restraints. Leading experts elucidate the changing nature of antitrust enforcement on both sides of the Atlantic, with a keen eye to future multilateral, as well as bilateral, developments.Contributors include Merit E. Janow (Columbia University), James Venit and William Kolasky (Wilmer, Cutler and Pickering); Edward M. Graham (Institute for International Economics), Philip Marsden (Linklaters Alliance), and Spencer Waller (Brooklyn Law School).
