Book Description
Materials reflect changing trends and new judicial developments. Each chapter includes a problem that focuses on class discussion. Many of the problems place students in the role of corporate planners, rather than litigators, and allow instructors to highlight the real-world impact of doctrinal uncertainty as concerns the scope of the director's duty of care. The organization of the book also reflects the growing importance, doctrinally and structurally, of the business judgment rule. The early business judgment rule discussion facilitates discussion at later stages of how the rule affects the choice of organizational form and creates a need for more elaborate governance mechanisms in close corporations. Extensive notes provide students with necessary background information.
Customer Reviews:
Decent text.......2004-12-08
Interesting discussion. Pertinent and recent cases covered (such as Disney Derivate suit involving Michael Ovitz). Helpful discussion, full discussion of theory and policy.
defective structure.......2000-04-05
The problem of corporate groups is the great problem of the corporation law . This book doesn't contain this subject,so I think the main defect of this book lies in the unreasonable structure.
Book Description
Corporations accompanies the casebook and provides updated material on corporations, including new and relevant decisions in this area of law. The supplement introduces basic concepts of corporate finance without unnecessary elaboration, discusses the close relationship between capital structure and governance issues, covers proxy solicitation and shareholder proposals, and combines discussion of the Supreme Court's proxy fraud decisions. Each chapter includes a problem that focuses on class discussion, and many of the problems place students in the role of corporate planners, rather than litigators, allowing instructors to highlight the real-world impact of doctrinal uncertainty about the scope of the director's duty of care. The organization of the book also reflects the growing importance, doctrinally and structurally, of the business judgment rule. Extensive notes provide students with necessary background information, and new materials reflect changing trends and new judicial developments.

This book profiles the paths of ten extraordinary individuals who achieved spectacular success and happiness through pursuit of a second passion.
Customer Reviews:
Explore the many threads you can weave in your life!.......2005-03-02
David Heenan is a business consultant and motivational speaker. His book details the "second vocations" of a number of famous individuals. His book can be a springboard, by inspiring all of us to set aside some time for the "other passions" in our lives.
A farmer should sow more than one crop. Most of us have the capabilities to pursue more than one vocation with passion.
A Waste of [money].......2002-11-26
This book is poorly written, offers no insights and generally does nothing more than report the resume of the individuals profiled. In short it offers worthless pablum!!!!!
Inspiration to get you moving.......2002-09-18
David Heenan's, Double Lives, profiles 10 individuals who excel in their vocations as well as in their avocations (sometimes more than 1). Sally Ride (NASA), Norio Ohga (Sony), Larry Small (Smithsonian) are a few who's stories are told. Heenan does a nice job of analyzing the "20 Keys" for living a double life. His last chapter will inspire you to wake up and live one too!
Book Description
Since its original publication in 1977, this influential and enormously popular cookbook has been at the forefront of the revolution in American eating habits. MOOSEWOOD was listed by the New York Times as one of the top ten best-selling cookbooks of all time, and no wonder. With her sophisticated, easy-to-prepare vegetarian recipes, charming pen-and-ink drawings, hand lettering, and conversational tone, Mollie introduced millions to a more healthful, natural way of cooking. This edition preserves the major revisions and additions that Mollie made in 1992, adding 5 new recipes from Mollie's current repertoire and 16 pages of beautiful color food photography. We know you've seen MOOSEWOOD before, but we promise you've never seen it quite like this!
Customer Reviews:
This book and its recipes have never failed me.......2007-09-03
This is the ideal vegetarian cookbook with recipes from around the world. It has many familiar and everyday recipes which makes it a great reference for the forgetful. As well, it has unique and interesting recipes which I continue to try. I have given it as a gift to a niece just learning to cook as well as a brother who needs to eat healthier food. Each recipe has simple instructions, an estimated time of preparation and most have variations to allow you to be creative. It has catagories of soups, salads, sauces and dips, baked goods, entrees and desserts as well as primers on low fat, dairy and egg substitutions and explainations of ingredients, cooking utensils and techniques. If you shop at natural food stores or the co-op, this is a great reference.
Not exactly heart healthy.......2007-08-17
This cookbook was recommended by my sister, whom I trust when it comes to healthy eating.
I got the cookbook and noticed immediately it has NO nutrional analysis of the recipes.
I am a heart patient, focused on reducing my cholesterol and sodium.
In order to get nutrional analysis of each recipe, I picked 4 that looked good and entered them into my Master Cookbook program. I was stunned by the amounts of cholesterol and sodium in these recipes.
As a result, I will be returning the cookbook. "Vegetarian" recipes like these are not necessarily healthy, although many of them are low in calories, this is not the entire health picture.
The Vegetarian Bible!.......2007-08-02
I consider the Moosewood Cookbook to be my vegetarian bible. Any vegetarian cook must own this cookbook! Mollie Katzen's first book is my favorite of all her cookbooks, and I have yet to try a recipe in this book that wasn't delicious (and I've tried almost all the recipes). It is great to know you can try a new recipe and be guaranteed to have a delicious outcome. Recipes also include cooking and preparation time tables, which I find very helpful when choosing a recipe. Her soups are exceptional and easy to prepare (definitely try the Lentil and Gypsy soup recipes). I would caution, though, that being her first book - and written in a less health conscious era - there is a lot of dairy in many of the recipes, especially the dessert and entrée sections. Vegans will find many of the recipes to have dairy. That being said, it is still worth buying even if you are vegan because there are many dairy free recipes, or Katzen provides substitutions such as soy milk as options. The second edition of the original Moosewood Cookbook was also revised to reduce the fat/dairy in many of the recipes. My vegan favorites in this cookbook are tabouli, hummus, and many of the vegetable soups. This cookbook will not disappoint vegetarians and meat eaters alike.
Mixed results.......2007-06-25
I'm not a vegetarian, but I do try to limit the amount of meat I eat, so I was delighted to recieve this cookbook as a gift. I've had limited success with it, though. Generally, I find the recipes to be rather labor-intensive and not good enough to be worth the effort. If you are a strict vegetarian, I think you'd find the effort more worthwhile, since you're limited in the ingredients you can use in your cooking.
Favorite recipe: tostadas. Her refried bean recipe is the best I've had.
Worst: Apricot-almond bread. It sounded wonderful, but I have a hard time believing she tested this recipe. She says to bake it for 90 minutes. I took it out of the oven after 75 minutes and it was so overbaked that it nearly tasted like charcoal (and it's not because my oven was too hot--I have an oven thermometer). A sad waste of my dried apricots and almonds.
One of my favorite cookbooks.......2007-06-10
I've had this cookbook for years. I've used it so much that it is falling apart. I love the recipes. I love Mollie's casual style that encourages creativity with the recipes. I love the pictures and hand lettering. I wholeheartedly recommend this cookbook to anyone who is considering buying it.
Book Description
For this tenth anniversary edition of her popular The Uncheese Cookbook, author Jo Stepaniak has completely revised her acclaimed orginal recipes and added many new ones. Includes an introduction by Vesanto Melina, RD, on safely eliminating dairy products from the diet.
Customer Reviews:
I Remember Cheese Fondly.......2007-10-02
I remember cheese fondly although I don't eat it anymore. Jo Stepaniak's The Ultimate Uncheese Cookbook offers recipes which make a valiant attempt to imitate the texture and flavor of dairy products, but the most successful aspect of the book is that it makes the comfort food quality of cheese available to those who may have never expected to experience it again.
My favorite recipes from the book so far are the Gooey Grilled Cheez, the Durritas seasoning (the taste of Nacho Cheese Dorritos), the Unprocessed Cheez Sauce (I like it on burritos), Spinafels (Spinach Ricotta Balls), the French Onion Soup Gruyere and most recently the Philadelphia Potato Chowder. The book contains a variety of salads, dressings, soups, pasta dishes, deserts, and block uncheeses. Everything I have tried from The Ultimate Uncheese Cookbook has turned out nicely. I strongly recommend this book to vegans (or to anyone else) who would like to experience a unique collection of comfort foods.
A dairy-free miracle.......2007-09-20
Wow, talk about a cheesy resource! With my focus on all things dairy-free, I was amazed that I had not yet picked up a copy of this cookbook. I think that two things held me back: I don't really miss cheese, as I was never a big fan of the stuff; and I couldn't imagine an entire cookbook focused on one type of food.
Well unbeknownst to me, this wasn't just a book about making fake cheddar. Sure, it contains tons of made from scratch cheezes, from slicing Swizz Cheez, to the softer Brie, to a saucy Nacho Cheez. Yet, it goes so many steps further, reminding me just how many foods rely on that creamy and cheesy taste. Blintzes, fondue, pesto, pizza, quiche, alfredo sauce, cheesecakes, French onion soup, lasagna ... you name it and the author Jo Stepaniak has the recipe answer. I was impressed.
Seriously, this is a must have book for any former cheese-loving vegan or dairy-free consumer. Sure, creating an exact duplicate sans dairy can be an uphill battle, and depending on each person's tastes, one recipe or another may not be their perfect fit. But I would be truly shocked if you couldn't find at least a handful of recipes in this cookbook to soothe your inner cheese-craving beast.
I recently trialed the Traditional Macaroni and Cheez, and can't wait to sample some of the calzones (I do miss pizza) and focaccias.
Making the actual "cheeses" does require a few ingredients that may be new-to-you. Luckily, there really are just a handful of these special ingredients required, allowing you to buy a good sized package of each once, and then reap the rewards of various "cheeses" for months. Also, while tofu definitely makes itself known in this cookbook, a surprising number of recipes are soy-free. In a good majority of the recipes, the author uses a variety of nuts, seeds, beans, grains, and seasonings to achieve the right consistency and flavor.
Amazing.......2007-08-25
I just purchased this book, and today I made the Gee Wiz. I'm telling you, this stuff is incredible. I've read most of the reviews here and I took the advise offered. I used a bit less lemon juice and a bit less Nutritional yeast. It was a hit with the entire family. DH and I have gone vegan for medical reasons. He really misses his cheese. This stuff hit the spot. He was ready to eat the entire container. I can't wait to try more of the recipes. When I do, I will be back to update my review.
Ok for those who want to know, it does not taste exactly like cheese.
However if I had not been the one to make it and had it on snack table with crackers, I would have been asking for the cheese spread recipe. It is really that good. I will definitely be making more of this and I will be taking it to homes that are not vegan. I can't wait to see their reactions.
A Great Way to Break a Cheese Habit!.......2007-05-13
As a vegetarian who is struggling to break a cheese habit in order to go completely vegan, this book is a God send. The recipes are absolutely delicious, and I've even used my slow cooker with several. Try it; you'll be glad you did!
Great source of decent recipes.......2007-05-07
You'll have to have access to a health foods/specialty store to buy some of the ingredients but if you're on a dairy-free restriction this book can at least help you have some sort of normalcy back to your diet. If you're used to eating gooey dairy goodness this food probably won't live up but if you've been missing your big ol' bowl of mac-n-cheese while living with new restrictions the recipe here will come pretty close. Good food, easy directions and a great resource for hard-to-find alternative foods.

Beautiful photos; poor directions.......2005-05-17
The book is filled with beautiful artistic photos typical of Dorling Kindersley. The idea and choice of recipes into traditional categories is good; however, the four recipes that I tried were bland and the directions were seriously incomplete. Made me realize how skilled Julia Child was at creating complete cookbooks. I wondered how many people had ever actually made the recipes in this book. For instance, the directions for making"money bags, "press the edges together to make a pouch. " The bags are pretty in the photo but how one gets them to look like that is a mystery. Another instance, making leek parcels. How much to put in each parcel? Directions say "put some filling in the center." Again the picture was beautiful with part of a leek tying the package together but again with no direction on length of leek strip needed, or even a reminder to save the green part after chopping some unknown portion of the leek. This is a defficient cookbook; it's more a coffeetable book. It sorely needed an editor/autor who knew how to write a proper, complete cookbook.
Vegetarian food familiar and new.......1998-07-26
The recepies in this book are well balanced between familiar vegetarian favorites such as omlettes, quiches and salads, and more creative and unusual dishes. There are plents of lovely colorful pictures to look at, and the instructions are clearly written. It covers everything from soup to salads to desserts.

SIMPLE GOOD FOOD FOR THE HEART, BODY AND SOUL.......2007-07-20
Originally published in the mid seventies as From a Monastery Kitchen: A Practical Cookbook of Vegetarian Recipes for the Four Seasons Complete from Soups to Desserts with Breads I refer here to the 2002 Liguori expanded reprint edition, with a new Introduction by Brother Victor-Antoine d'Avila-LaTourette, Benedictine based in an abbey in upstate New York and renowned chef of good, simple and essentially vegetarian monastic food.
In his introduction, Brother Victor-Antoine writes: "Vegetables play a unique and most important role in the daily monastic fare, for all classic monastic diet throughout the ages has been predominately vegetarian, while making provisions for the inclusion of seafood and dairy products as well. Monastic gardeners make a point of cultivating extensive gardens that usually produce an adequate supply of vegetables, fruits, and herbs for daily culinary use. Vegetarian cooking, for both health and spiritual reasons, has been rediscovered and has attained wide prominence. In the cooking at monasteries, this goes a long way toward sustaining and encouraging the positive trend we see today (p. 3)."
Brother Victor-Antoine d'Avila LaTourette further writes: "This is a vegetarian cookbook; no meat recipes are included, but there are fish recipes. Not all monastics are vegetarians by any means, but the Rule of Saint Benedict, which Our Lady of the Resurrection Monastery follows, strongly encourages abstaining from meat. And each of us today must consider whether we want more than the least of us on the planet can have; most of our brothers and sisters do not have meat. (p. 4)"
This is right in line with the recent words of compassion and global concern expressed so eloquently by Our Holy Father Pope Benedict XVI in his recent Apostolic Exhortation Sacramento de La Caridad: Sacramentum Caritatis as he urges us, compelled by our participation in the Eucharistic mysteries, to alter the economic structures which leave the majority of us destitute.
Thus Brother Victor-Antoine closely follows the Precept of The Rule of Saint Benedict proscribing quadrapeds. In fact you find here only a smattering of fish dishes. In the Main Dishes section you will find an excellent recipe for scrambled eggs, but the bulk are excellent, hearty, healthy and vegetarian dishes, such as one might enjoy within any excellent monastic enclosure.
The servings can indeed be generous, For example, the over half gallon recipe for Hermit's Soup which opens this book, including cabbage and carrots and turnip, etc., is suggested for one or two servings. This may seem a generous portion until you realize this may be the only meal of the day, or the evening meal. I might suggest after the hour of simmering passing your Braun MR400fHC Multiquick Hand Blender with Chopper through it a few times, and putting sour cream or fat free yoghurt on top, but too many chefs can spoil the soup. A slight pinch of ground clove, nutmeg or allspice might be nice as well, although they may do battle with the turnip. Perhaps best simply to display the small vials of spice to the soup, in order to frighten it duly into that other dimension of inscrutable flavor, no more. Or to simply follow in obedience the Brother's recipe in ipse.
This is followed by the high-carb Potato Soup, very healthy fare which really sticks to your ribs as you bring in the hay from the monastic fields. Those of a more sedentary life-style might choose a less caloric concoction from this wonderful book.
In fact, Brother Victor-Antoine begins his book with a goodly list of "Useful Tips for a Healthier Diet" including herbs as salt substitutes (which reminds me of the old joke: I tried a low-salt soup once. It was great; all it needed was salt.) and substituting pastries with fruit, and white flour with whole grain, and butters with olive oil, etc. the things one does without a thought nowadays.
The recipes as mentioned are arranged by Season, including Liturgical Season, and are really five star, more elaborate and sophisticated than first few I have presented here. I found a few of the titles rather inventive and more poetic or evocative than factual. For instance, the Subiaco Fish Fillets. I have been to Subiaco, the site of Saint Benedict's original hermitage and monasteries. I am an Oblate of the Subiaco Congregation. I cannot imagine any fish scaling those high and dry mountainous cliffs, filleted or not.
But such idle gossip has no place in a silent monastic refrectory. I am very grateful for this book and the warm companionship and even better food that it brings. And the prayers, of course, the prayers for peace together. In fact, please accompany this present book with Brother Victor-Antoine's excellent table prayer collection: Table Blessings: Mealtime Prayer Throughout the Year.
Many of the recipes reflects Brother Victor-Antoine's French heritage very well, and very simply. You will be surprised at how easily and how cheaply you too can prepare an excellent French meal worthy of the highest honors, and vegetarian.
Please take and read, for this too is our Body.
Delighful book.......2007-04-01
I really appreciate this book! It offers easy, no-nonsense recipes, simple, on the healthy side (no meat) and tasty. I particularly enjoy the "Indian Curried Lentils" and the "Candied Sweet Potatoes with Raisins".
FROM A MONASTARY KITCHEN.......2007-03-20
I BOUGHT THIS COOKBOOK ABOUT 2 YEARS AGO, AND HAVE ENJOYED IT SO MUCH, AND HAVE USED IT A LOT, SO I BOUGHT THIS COPY FOR MY DAUGHTER. THOSE WHO FAST/ABSTAIN FOR LENT WILL FIND IT PARTICULARLY USEFUL.
Customer Reviews:
Mini-Moosewood very mini.......2006-08-09
Had no idea this was really a tiny book -- and the list price was what I paid, so there was no savings. Either I read the description wrong or it was misleading - not sure which. But the service was good and delivery was prompt. My problem was with the book, not the sender.
A cute toy.......2004-01-02
It's not the real Moosewood cookbook. It's a stocking-stuffer, with about 25 recipes from the original.
The recipes are all good ones, though. They are all easily prepared, and easily adapted if you don't have quite the right ingredients. I know at least one child who might get some enjoyment out of it, partly because of of its unusual size.
This is not for the serious cook or the lifelong Moosewood fan. Taken on it's own merits, though, it could provide a bit of fun.
CAREFUL - it's a booklet - a baby.......2002-09-16
I thought this was a full size book. It's not. It's a tiny (2"x2") gift version. Great if you want to carry it around in your backpack, purse, or pocket, but very tiny print.
Customer Reviews:
Great tasting and huge variety of recipes in this book........2007-06-11
This book has some fantastic recipes. There are very many to choose from. The one thing i feel is missing from this cookbook is the nutritional information. I like to know how many calories per serving, protein information, etc. This would have made it the perfect little cookbook. Still worth owning.
Down to Earth recipes with ingredients found in your pantry........1999-10-03
This cook book really is a classic. I checked it out from the library and found a lot of recipes that I could use without buying fancy ingredients. It's well rounded, even if you're not a vegetarian, it has great ideas for different meals.
